Services

L.X Mitev offers various writing services, such as screenwriting, graphic novel writing and script analysis. You can request a quote for any of these services by filling out an intake form on this website. L.X Mitev will review your request and contact you with a proposal and a contract. The contract will specify the scope of work, the fees, the payment terms, the delivery schedule and other relevant details. You must sign and return the contract before L.X Mitev can start working on your project.

L.X Mitev reserves the right to reject any request for any reason at his sole discretion. L.X Mitev also reserves the right to terminate any contract if you breach any of these terms of service or fail to pay the agreed fees.

Payment

You agree to pay L.X Mitev the fees specified in the contract for your project. You also agree to reimburse L.X Mitev for any reasonable expenses incurred in connection with your project, such as research costs, travel costs or printing costs. You will receive an invoice from L.X Mitev detailing the fees and expenses for your project.

You must pay L.X Mitev within 30 days of receiving an invoice. You can pay by credit card, PayPal or bank transfer. If you fail to pay on time, L.X Mitev may charge you interest at a rate of 2% per month on any overdue amount. If you fail to pay within 60 days of receiving an invoice, L.X Mitev may suspend or cancel your project and take legal action against you.

Intellectual Property

L.X Mitev retains all intellectual property rights in his original work until he receives full payment from you. Once he receives full payment from you, he will transfer all intellectual property rights in his work to you, subject to any limitations or exceptions specified in the contract.

You grant L.X Mitev a non-exclusive, royalty-free license to use your name, logo and testimonials for promotional purposes on his website or other media platforms.

You agree not to copy, modify, distribute or sell any work created by L.X Mitev without his prior written consent.

Disclaimer

L.X Mitev provides his services on an “as is” and “as available” basis. He does not guarantee that his services will meet your expectations or requirements or that they will be error-free or uninterrupted.

L.X Mitev disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or suitability.

Limitation of Liability

To the maximum extent permitted by law, LX.MITEV WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH HIS SERVICES OR THESE TERMS OF SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR LOSS OF OPPORTUNITY, EVEN IF HE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL LX.MITEV’S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU TO HIM FOR THE SERVICES IN QUESTION.

Indemnification

You agree to indemnify, defend and hold harmless LX.MITEV and his affiliates, agents, employees, contractors and licensors from and against any claims, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of his services;

• Your breach of these terms of service;

• Your violation of any third-party rights; or

• Any dispute between you and another party regarding his services.

Governing Law

These terms of service are governed by and construed in accordance with the laws of Canada and Ontario without regard to its conflict-of-law principles. Any dispute arising out of or relating to these terms of service shall be submitted exclusively to arbitration under Arbitration Act (Ontario) before a single arbitrator appointed by LX.MITEV. The arbitration shall take place in Toronto Ontario Canada and shall be conducted in English.

The arbitrator’s decision shall be final and binding on both parties. The arbitrator shall award reasonable costs and expenses, including legal fees, to the prevailing party. The parties agree to keep the arbitration confidential and not to disclose any information related to the arbitration to any third party.

Changes

L.X Mitev may change these terms of service at any time by posting an updated version on his website. You are responsible for reviewing these terms of service periodically to ensure that you are aware of any changes. Your continued use of his services after any changes are posted constitutes your acceptance of the revised terms of service.
